BlackRock Transactions EMEA Credit Attorney in Frankfurt, Germany

BlackRock’s Legal and Compliance team works with business teams to develop investment management products and business solutions that comply with the numerous legal and regulatory requirements to which BlackRock is subject and to deploy capital managed on behalf of clients. Legal and Compliance is responsible for, among other things, overseeing regulatory matters; coordinating litigation and legal proceedings; negotiating and structuring contracts and other complex transactions; providing ongoing legal advice across investment platforms regarding new and existing products, strategies and investments; establishing legal and compliance policies and procedures that meet applicable regulatory requirements and testing the operative effectiveness of those policies and procedures and conducting training.

L&C Credit Transactions Group Lawyer – Frankfurt or Munich

We are searching for an experienced credit transactional lawyer to be based in either Frankfurt or Munich, that will provide legal coverage of transactions and investments across the BlackRock credit investment platform, including loan origination and special situations. This role will have a key responsibility for supporting activities relating to the private credit platform including primarily (i) direct lending/private credit loan origination transactions, public debt transactions, and any restructurings relating thereto , (ii) special situations alternatives transactions for the global credit opportunities strategy and (iii) venture debt financings, in each case with a particular focus on transactions governed by German law and involving German borrowers. The ideal candidate must have the ability to coordinate complex projects and transactions involving different business groups and multiple products.

Primary Responsibilities

  • Act as in-house transaction counsel on EMEA originated fixed income and credit private investments, manage transaction execution, review and negotiate full range of investment documentation.

  • Assist on non-EMEA originated fixed income and credit investments with an EMEA nexus in conjunction with our Global transactions legal counterparts.

  • Act as on EMEA restructuring and workout transactions (coordinating with our global workout counsel). manage transaction execution, review and negotiate full range of related investment documentation.

  • Act as transactions legal representative on various internal meetings (including pipelines, investment and other cross-platform committees).

  • Review and negotiate credit, special situations and venture debt investment documentation including loan and security documentation (including intercreditor documentation), bond documentation, restructuring support agreements, schemes of arrangement documentation, private placement agreements, asset and stock purchase agreements, warrant agreements, shareholders’ agreements, subscription agreements, non-disclosure agreements, letters of intent, term sheets, commitment letters, transfer agreements, pricing letters, and other similar transactional documentation.

  • Manage outside counsel review of all investment documentation and oversee outside counsel with respect to investments generally.

  • Coordinate and work with business teams, fund lawyers, litigation, compliance, tax, risk, financial crime and operations teams regarding various credit, venture debt and special situations transactions.

  • Provide advice and support to internal stakeholders to develop, establish and improve internal processes and cross-platform initiatives relating to investments.

  • Coordinate with compliance teams with respect to information barriers, restricted list reviews, inside information, thresholds, cross-trades, conflicts and other regulatory coverage areas.

  • Basic knowledge and understanding of the banking monopoly regimes across key European jurisdictions.

  • Analyze and manage a variety of regulatory issues affecting the BlackRock product platform, including UCITS, Investment Company Act of 1940, MIFID, AIFMD, etc.

  • Take initiative to identify and analyze problems, generate alternative solutions, and make decisions with little direction/supervision.

Requirements

  • Professional background will include previous post-admission experience of 4-8 years, with the majority spent at a leading international law firm or in-house.

  • Significant experience in lending and finance transactions, including restructuring and distressed matters (both in and out of court).

  • Strong academic background.

  • Strong technical legal and commercial skills.

  • Experience advising fund managers and non-bank institutions as lenders or investors is a plus.

  • Ability to oversee and effectively manage outside counsel and internal stakeholders.

  • Strong organizational skills and ability to work with others and manage multiple time sensitive matters in a demanding, fast-paced and fluid environment.

  • Motivated team player with ability to work independently and potential to lead as necessary.

  • Ability to take initiative to anticipate, identify and analyze issues, generate potential solutions and make decisions with little direction/supervision.

  • Exceptional interpersonal, analytical, written and oral communication skills - must be able to resolve complex issues in a practical manner on a compressed timeline and to communicate complex concepts in an understandable way.

  • Excellent written and verbal communication skills – presents ideas in a clear, concise and constructive manner.

  • Must be fluent in English and German. Other European languages are an advantage.
